Terms of Service

1. Description of Service

Cakale EDU is a cloud-based educational management system (EMS/LMS) that enables schools and educational institutions to manage academic operations digitally. The platform provides tools for:

• Student enrolment, classroom management, and academic record keeping
• Assessment creation, administration, and automated result generation
• Staff management, payroll processing, and attendance tracking
• Parent communication, enquiry management, and student reporting
• School finance management including budgets, transactions, and fee collection
• Document management, library resources, and file sharing
• In-app messaging, announcements, and calendar management
• Subscription-based plan management with optional add-on tools

2. User Accounts & Roles

2.1 Account Registration

To use Cakale EDU, you must create an account by providing accurate, complete, and current information. You agree to keep your account details up to date and to maintain the confidentiality of your login credentials. You are solely responsible for all activity that occurs under your account.

2.2 User Roles

Cakale EDU uses a role-based access system. Upon registration, users select one of the following roles:

• Super Admin: Registers and owns a school. Has full administrative access to all school data, settings, and features.
• School Admin: Assigned internally by the Super Admin. Shares broad administrative capabilities within the school.
• Staff: Teachers and other school employees. Access is scoped to their assigned classrooms, subjects, and personal records.
• Student: Enrolled learners. Access is limited to their own academic records, assessments, timetables, and results.
• Parent / Guardian: May submit enquiries, view linked children’s information, and track enrollment status.

2.3 Account Security

You must notify us immediately at support@cakale.com if you discover or suspect any unauthorised use of your account or security breach. We reserve the right to suspend or terminate accounts that are compromised or used in violation of these Terms.

3. School Administrator Responsibilities

If you register or manage a school on Cakale EDU, you accept the following responsibilities:

• You are responsible for all data entered into your school account, including student records, financial data, and staff information
• You must obtain appropriate consent before enrolling students, particularly minors, and ensure compliance with applicable data protection laws in your jurisdiction
• You are responsible for configuring access roles appropriately and ensuring that staff members only have access to data necessary for their duties
• You must not use Cakale EDU to store unlawful, harmful, or discriminatory content about students, parents, or staff
• You are responsible for maintaining the accuracy of your school’s subscription and ensuring timely renewal to avoid service interruption

4. Acceptable Use Policy

You agree to use Cakale EDU only for its intended educational management purposes. You must not:

• Upload, share, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or violates any third-party rights
• Attempt to gain unauthorised access to any account, system, or data on the platform
• Interfere with or disrupt the integrity or performance of the Service, including through denial-of-service attacks or injecting malicious code
• Scrape, harvest, or collect data from Cakale EDU without our express written permission
• Use the platform to send unsolicited communications (spam) or engage in any form of commercial solicitation outside the intended school context
• Misrepresent your identity or affiliation with any school or organisation
• Violate any applicable local, national, or international law or regulation

We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of accounts.

5. Subscriptions & Billing

5.1 Plans

Cakale EDU offers the following subscription plans for schools, billed in Nigerian Naira (NGN):

• Free: Limited features with no monthly charge — suitable for small or trial schools
• Starter: ₦7,500/month or ₦72,000/year
• Professional: ₦15,000/month or ₦144,000/year
• Enterprise: ₦35,000/month or ₦336,000/year

Annual billing is offered at a discount. Optional add-on tools (e.g., advanced analytics, AI grading, virtual classroom) are available for additional fees.

5.2 Payment

Payments are processed via Stripe (card payments) or Paystack (card and local payment methods). By submitting payment, you authorise Cakale EDU to charge the applicable fees for your chosen plan and billing cycle. All payments are non-refundable except where required by law.

5.3 Promo Codes

Promotional codes may be applied at checkout to receive discounts. Promo codes are subject to their own validity conditions and may not be combined with other offers unless stated.

5.4 Plan Limits & Feature Access

Each plan carries limits on the number of students, staff, and classrooms that may be active simultaneously. Exceeding plan limits will require an upgrade. Feature availability depends on your active plan; certain features are restricted to higher-tier plans.

5.5 Renewal

Subscriptions do not auto-renew automatically unless you enable auto-renewal at checkout. You will receive a notification before your subscription expires. If a subscription lapses, school features will be restricted to the Free plan limits until renewal.

6. Content Ownership & Intellectual Property

6.1 Your Content

You retain ownership of all content you upload to Cakale EDU — including student records, documents, assessments, and communications. By uploading content, you grant Cakale EDU a non-exclusive, royalty-free licence to store, process, and display that content solely for the purpose of providing the Service.

6.2 Cakale EDU Intellectual Property

The Cakale EDU platform, including its design, source code, trademarks, logos, and all proprietary content developed by us, is the exclusive intellectual property of Cakale EDU. You may not copy, modify, distribute, sell, or create derivative works from any part of Cakale EDU without our express written permission.

7. Third-Party Services

Cakale EDU integrates with third-party services including Cloudinary, Cloudflare R2, Stripe, Paystack, and email providers to deliver certain features. These services operate under their own terms of service and privacy policies. Cakale EDU is not responsible for the practices of these third parties. We encourage you to review their policies independently.

8. Disclaimers & Limitation of Liability

8.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, Cakale EDU Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or educational records — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our aggregate liability to you shall not exceed the total fees paid by you to Cakale EDU in the 12 months preceding the claim.

9. Termination

Either party may terminate the relationship under these Terms:

• By you: You may deactivate your account or school at any time through the platform settings. Subscription fees already paid are non-refundable.
• By Cakale EDU: We may suspend or permanently terminate your access at any time, with or without notice, if we determine you have breached these Terms, engaged in illegal activity, or for any other reason we deem necessary to protect the platform or other users.

Upon termination, your right to use the Service ceases immediately. We may retain your data for up to 90 days after termination for backup and legal compliance purposes, after which it will be permanently deleted.

10. Privacy

Your use of Cakale EDU is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand how we collect, use, and protect your personal information.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable advance notice of significant changes where possible. Your continued use of the Service after any modification constitutes acceptance of the updated Service.

12. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the “Last Updated” date and notify users via email or in-app notification for material changes. If you do not agree to the revised Terms, you must stop using the Service. Continued use constitutes acceptance of the updated Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the use of Cakale EDU shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Nigeria.
